Sam Altman: OpenAI’s Nonprofit Will Maintain Oversight of the $300 Billion Firm

OpenAI CEO Sam Altman has achieved an incredible milestone. In just 10 years, he built a company valued at $300 billion, introducing a technology with potentially world-changing implications, all under the framework of the OpenAI nonprofit. This scenario represents both a remarkable achievement and a challenge within the capitalist landscape.

After earlier attempts to transition OpenAI into a for-profit entity, Altman revealed an “updated plan for evolving [the company’s] structure.” In a letter to OpenAI employees, he confirmed that the nonprofit will retain control over the for-profit LLC, marking a significant victory for critics of OpenAI’s structure.

In recent years, the nonprofit status of OpenAI has sparked considerable debate, particularly following Elon Musk’s lawsuit against the organization. Last year, Musk brought legal action against the ChatGPT creator for breach of contract related to its shift into a for-profit model. Initially one of OpenAI’s backers, Musk has voiced strong opposition to this transition since leaving the company in 2018, when Altman established a “capped” for-profit LLC. This decision has drawn criticism from Musk, the attorneys general of California and Delaware, and various AI skeptics.

As a result, OpenAI has operated with a unique corporate structure, where its nonprofit arm oversees its for-profit LLC. The LLC is now set to become a Public Benefit Corporation—defined as “a purpose-driven company structure that must consider the interests of both shareholders and the mission.” This change means OpenAI is now legally obligated to weigh factors beyond profit as it delivers AI products.

“We made the decision for the nonprofit to retain control of OpenAI after consulting with civic leaders and engaging in constructive dialogue with the Attorney General of Delaware and the Attorney General of California,” stated OpenAI board member Bret Taylor in a blog post. “We thank both offices and look forward to continuing these important conversations to ensure OpenAI can effectively pursue its mission of ensuring AGI benefits all of humanity. Sam wrote the letter below to our employees and stakeholders about why we are excited for this new direction.”

In his letter to OpenAI employees, Altman expressed his aspirations for the company’s evolution: first, to attract new investments; second, to establish “the largest and most effective nonprofit in history”; and third, “to deliver beneficial AGI.” AGI, or artificial general intelligence, is a concept with flexible parameters but is described by OpenAI as “AI systems that are generally smarter than humans.”

To achieve this ambitious goal, Altman indicated that OpenAI may need trillions of dollars in additional resources. “We want to be able to operate and secure resources in a way that makes our services broadly available to all of humanity, which currently requires hundreds of billions of dollars and may eventually require trillions. We believe this is the best path to fulfilling our mission and enabling people to create immense benefits with these new tools,” Altman wrote.
